PROFESSIONAL EXPERIENCE2003-2020 Deputy Chief Counsel, Pennsylvania Department of Community and Economic Development (Governor’s Office of General Counsel)• I supervised the Department’s transaction attorneys and structured and closed numerous complex financings for economic development projects. A notable example was a $46 million HUD Section 108 loan which saved Boscov’s Department Stores from liquidation, which necessitated extensive negotiations with HUD officials in Washington and Philadelphia and involved the joint participation of Boscov’s, the Commonwealth, six counties and two cities in Pennsylvania, and two New Jersey communities. I also assisted PennDOT’s Center for Program Development and Management in structuring and closing Pennsylvania Infrastructure Bank loans to private developers.• I was the chief legal architect for the $61 million COVID-19 Working Capital Access Program and the $450 million Hospital Emergency Loan Program, which were ramped up in a matter of weeks and provided much-needed funds to over 700 small businesses and hospitals.• I supervised the Department’s litigation attorneys and managed litigation involving Right-to-Know Law appeals, contract claims, bankruptcy, and the recovery of defaulted loans and grants in state courts.• I administered the Local Government Unit Debt Act (LGUDA) and regularly advised local government officials, solicitors, and bond counsel on compliance with state law. I approved debt proceedings authorizing the incurrence of $48 billion in debt by counties, cities, townships, boroughs, and school districts. I testified before the Pennsylvania Senate Local Government Committee in 2012 concerning the City of Harrisburg’s financial crisis, and before the Pennsylvania House Local Government Committee in 2019 concerning pending legislative changes to LGUDA.• I serve as counsel to The Pennsylvania Industrial Development Authority (PIDA) and advise the PIDA board and staff on statutory, regulatory and compliance matters. I worked closely with bond counsel on PIDA’s 2008, 2012, and 2015 bond financings.• I designed and oversaw implementation of databases to maintain the office’s advisory opinions and track the office’s litigation and collection activities.1996-2003 Shagin & Anstine LLC, Harrisburg• I was the managing partner of a small law firm (2 partners, 3 associates), concentrating in economic development financing, employment-based immigration, real estate, estate planning and civil litigation.• I closed tax-exempt financings for the Adams County, Chester County, and Greene County Industrial Development Authorities, and represented numerous home buyers and real estate investors in their real estate purchases.• I planned and settled numerous small and medium-sized estates and represented a regional bank in connection with trust and guardianship proceedings.• I won a $700,000 verdict, including punitive damages, from a Cumberland County jury in a breach of contract/tortious interference case.2005-present Broker of Record, Keystone Broker Group, Ltd., Mechanicsburg, PA.
