I am a business lawyer with a broad range of clients, including privately owned and managed companies.  I have also developed a niche practice counseling dental practices in numerous transactional/transitional matters.   My clients rely upon me for my legal counsel and guidance on the optimal way to structure their business arrangements.  Although I have lived in the Mid-Atlantic for over 20 years, I am originally from Dallas, Texas. Specifically: GENERAL TRANSACTIONAL EXPERIENCE: I assist my clients with a wide variety of commercial arrangements including:  -Equity and debt financings -Acquisitions -Buy-sell agreements and business succession planning -Joint Ventures  I also act as an informal outside general counsel to a number of clients that consult with me on an extensive range of issues, including risk management, vendor agreements, services agreements, employment issues, and many other day-to-day aspects of starting and running a business.  DENTAL PRACTICE TRANSITIONS EXPERIENCE: Over the years, I have represented a myriad of dental practices and gained valuable knowledge about the unique needs facing general dentists, oral and maxillofacial surgeons, pediatric dentists, orthodontists, endodontists and periodontists in business transactions and situations they encounter during the lifespan of their practices.  Services I provide to dental practice clients include structuring, negotiating and documenting employee arrangements, partnership arrangements, acquisitions, separations and sales. Specialties: Business law; corporate law; mergers and acquisitions; contracts; representing start-up companies; medical and dental practice transitions; dental associateships, dental practice acquisitions and sales; dental practice partnerships; exit strategies for dentists; informal outside general counsel.
