About
Kelly Love Manning is the Business/Transactional attorney at Kizer & Black, Attorneys, PLLC. She has a broad range of experience representing clients with regard to entity formation (corporations, limited liability companies, and partnerships), entity dissolutions, mergers and acquisitions, business and commercial law transactions (including UCC transactions), commercial and residential real estate transactions (including leasing), foreclosures, short sales, securitized mortgage transactions, and creditors’ rights. Her experience also extends to the contract side of corporate matters including drafting and reviewing articles of organization, charters, operating agreements, bylaws, partnership agreements, buy-sell agreements, shareholder agreements, asset purchase agreements, stock purchase agreements, membership interest purchase agreements, employment and independent contractor agreements, noncompetition and non-solicitation agreements, confidentiality agreements, letters of intent, and general business contracts. Kelly graduated Summa Cum Laude from the University of Tennessee with a bachelor’s degree in Business Administration with a concentration in Finance. After working in southern California as a consultant regarding banking regulations and compliance for a national mortgage lender, she returned to Knoxville to attend the University of Tennessee College of Law and graduated Summa Cum Laude at the top of her class. She was on the Dean's List with Highest Honors and was also a member of the Tennessee Chapter of the National Order of the Coif. After graduating from law school, Kelly accepted a job with a large law firm in Atlanta, Georgia, representing banks and other lenders in securitized mortgage transactions before making her way back home to East Tennessee. In addition to being a member of Kizer & Black, she is also an adjunct professor of Contract Drafting and Representing Enterprises for the University of Tennessee College of Law. She is a member of the Blount County, Knoxville, Tennessee, Georgia, and American Bar Associations and is admitted to practice in both Tennessee and Georgia. Kelly currently serves as the President of the Foundation for the Blount County Public Library and served for three years as the Secretary of the same organization. She is also on the Board of Directors for the United Way of Blount County, and previously served as a loaned executive with the United Way of Blount County. Kelly has participated in the tnAchieves program as a mentor helping high school students to obtain financial aid and to be eligible for the Tennessee Promise program. She was also a member of the Leadership Blount Class of 2014.
