About
I represent U.S.-based privately-held businesses and their owners in complex transactions and operational matters. For over 25 years I have advised owners and managers of a broad spectrum of industries ranging in size from start-ups to global operations. My practice focuses on commercial transactions, strategic advice, and commercial finance. I have the highest “AV Preeminent” peer rating for ethical standards and professional ability. I am licensed to practice law in Pennsylvania and New Jersey. I frequently serve as outside general counsel to owners and managers of middle-market, owner-managed companies. I am also a counselor to and board member of non-profit and early stage companies in the Philadelphia area. My practical judgment and maturity arise from my large-firm training and years of experience practicing as a partner in a large firm setting. I began my legal career in Philadelphia at Mesirov Gelman, Jaffe, Cramer, and Jamieson, a firm of 120 lawyers, which merged into Schnader Harrison Segal & Lewis in 2000. I was elected to the Executive Committee at Mesirov, the firm's management body, and served as chair of the firm's Hiring Committee. In 2006 I organized private investors to acquire an operating business for which I was a principal and general counsel. I returned to full-time practice at Schnader in 2008 and later at a South-Jersey-based firm, then formed Greenfield Law Firm, PLLC in 2014. I have published on finance and business law forThe Practical Lawyer and the Financial Services News and authored a 200- page chapter on equipment leasing in the multi-volume treatise, Pennsylvania Transaction Guide. I have been a panel speaker for the Philadelphia Chamber of Commerce and numerous seminars co-sponsored by Penn State University and Geneva Corporate Finance on entrepreneurs selling their businesses. I am a volunteer lawyer for Philadelphia Lawyers for the Arts, the Pennsylvania Innocence Project, and the Philadelphia Volunteers for the Indigent Program. I chaired the Philadelphia Bar Association’s Uniform Commercial Code Committee, and am a member of the American Bar Association’s Uniform Commercial Code and Negotiated Acquisitions committees.
