I am the co-founder of the firm and head of the firm’s business and corporate practice. I have been instrumental in the development of the firm’s representation of physicians and other health care providers. I focus on assisting clients in the selection of a corporation, partnership or limited liability companies for the start-up of their business to achieve their desired business objectives. I work closely with clients in all phases of their business, providing counseling with respect to financing needs, compensation and ownership succession arrangements, as well as structuring and negotiating merger and acquisition transactions and resolving management and governance disputes among owners. The firm’s health care practice encompasses the full range of business and regulatory matters facing clients in the health care industry. I have extensive business and corporate transaction experience and understand the challenges facing those clients doing business in the complex health care regulatory environment. I assist clients with managed care contracting arrangement and the formation, affiliation and consolidation of medical groups, independent practice associations and management services organizations. I also work with clients to develop joint venture arrangements, affiliations with hospital foundations and assists medical groups in unwinding unsuccessful affiliations. I lecture regionally and nationally on owner succession arrangements, mergers and acquisitions and governance issues. I have been recognized as a San Diego Super Lawyer in 2007-2012. I have been recognized for my securities & corporate finance practice as well as my health care and general business & corporate practices. I was also recognized as a San Diego Top Attorney by The Daily Transcript for my commercial, corporate and business practice in 2006.
