About

My greatest professional pleasure has always been helping with contracts that create wealth and opportunity, i.e., agreements that grow businesses, contracts that solidify employment opportunities, real estate development contracts and contracts that sell businesses and enable my clients to realize the fruit of their hard work. Contracts are like good neighbor fences: if erected at the outset, there are no hard feelings, i.e., the outline and expectations of the relationship are fairly well defined. Contracts help avoid larger conflicts and disagreements later on. This past year, I was called upon several times to resolve multiple partnership and shareholder disputes, where there was no partnership or shareholder agreement. And I wished those clients had come to me sooner. Predictably, the sweet spot is assisting with buying and selling businesses. In the past year I was happy to help a long-time client sell six McDonald’s locations; assist a client with the purchase of a hotel and the attendanct fiancing; and help a new client purchase multiple sites for a new wholesale liquor business (Working with the PA Liquor Control Board was a real treat.) I was buoyed to assist with several corporate formations, and I also helped with the dissolution of a few businesses as well. Technology contracts, one of my “wheelhouses,” were numerous and a joy. And I now represent several more international clients.

If someone asked me for a referral for an attorney, particularly in the area of software and business law, I would immediately tell them what I'm about to tell you below but it occurred to me that I've never really told you, though most of this you have probably inferred over the years. I wouldn't be surprised to learn that you have other clients like me who first started with you on the other side of a deal and felt so good about the experience that they wanted you in their corner the next time around. I did, and we've worked together for many years since then. In software contract and business negotiations it's important to me that all parties feel good about the process since it is just the beginning of a long term relationship. You have that rare ability to balance protecting our interests, treating our clients fairly and honestly, and most importantly, getting the deal done. Equally important to me is that while I'm certainly not a large client of yours, you've never made me feel that way. I like that you've invested the time in getting to know me through the years. Your advice and counsel is always spot-on and well tailored to my needs and my personality. That personal service, attention to detail, knowledge of the industry and your honesty make it no happenstance that we've been working together for all of these years and will continue to do so for many more to come.

I have known DAF for 10 years and we have done quite a few business transactions together. He is by far the most honest, most knowledgeable business lawyer you can find. I trust him completely. You can make sure he will represent you and protect your interests. He will look at things from different angle and make sure there everything is covered under the law. He has never let me down. He will communicate with you every step along the way so you know exactly what's going on and won't be blindsided. I will recommend DAF to anybody any time.
